This is a hybrid position out of our Wayne, PA, Ft. Lauderdale, FL, or Davidson, NC office.

Responsibilities

  • Lead negotiation and structuring complex, high-value technology and commercial agreements, setting contract standards for the enterprise.
  • Reviewing, drafting, and advising on a full spectrum of commercial documents, including software license agreements, supply agreements, partner agreements, terms and conditions of sale and purchase, purchasing and procurement documents, and consulting agreements.
  • Act as the company’s global subject matter expert on technology, data privacy, and cybersecurity law across multiple jurisdictions, including North America, Europe, and emerging markets
  • Serve as a strategic legal advisor to senior leadership, guiding on complex legal and regulatory issues that impact global operations.
  • Counseling and advising the company on regulatory and compliance risks. 

Qualifications

  • J.D. from an ABA-accredited law school; strong academic record in law school and undergraduate program required.
  • Minimum 6+ years of experience in private practice (large law firm preferred) or in-house (global company preferred).
  • Significant (3+ years) transactional experience and proven expertise in software and technology licensing, data privacy, cybersecurity, and intellectual property, preferably in a corporate or large law firm setting.
  • Independently lead negotiations with senior executives at major partners, vendors, and customers, driving outcomes aligned to the company’s strategic objectives.
  • In-depth knowledge of US and international (Canada, UK, Europe) legal and regulatory frameworks governing technology and data privacy.
  • Anticipate and help shape the company’s legal risk strategy, advising executives on long-term implications of regulatory developments and market trends.
  • Excellent analytical, problem-solving, and communication skills.
  • Strong interpersonal skills and the ability to collaborate effectively with cross-functional teams.
  • Ability to work effectively in a fast-paced, dynamic environment.
  • Member of the bar and in good standing in at least one state.
